Orange Visuals LLC — Terms of Service

Effective Date: June 8, 2026  |  Supersedes all prior versions

By booking with Orange Visuals LLC (“Orange Visuals,” “we,” “us,” or “our”), you (the “Client”) agree to the following Terms of Service (the “Terms”). Please read them carefully. Booking, paying for, accessing, or using any work constitutes acceptance of these Terms.

1. Nature of the Service; Creative Work

Orange Visuals provides professional real estate photography, videography, and related media services. This is a creative, professional service. Our photographers and videographers are skilled creative professionals who exercise their own judgment, originality, and discretion in producing the deliverables, including decisions about framing, angles, composition, lighting, sequencing, and editing. When you hire us, you delegate these creative decisions to the assigned professional. You are purchasing their creative talent, expertise, and time, not a guarantee of any particular subjective result, aesthetic preference, or sale outcome.

Each project reflects the independent creative judgment of the photographer or videographer assigned to it, informed by professional conventions for marketing properties on the MLS, Zillow, and comparable platforms. Unless you provide written instructions in advance under Section 2, the creative and technical decisions are left to the discretion of the assigned professional, and the resulting deliverables are deemed to conform to your order.

2. Client Preferences and Special Requests

Any special requests, must-have shots, specific rooms or features, stylistic preferences, or non-standard framing (for example, vertical photos, particular angles, twilight shots, or specific compositions) must be submitted to Orange Visuals in writing before the scheduled shoot. Verbal requests made to a photographer on-site are not a substitute for written instructions and may not be reflected in the final deliverables.

Absent written preferences received in advance, the creative and technical execution of the shoot and the edit is left to the discretion of the assigned photographer or videographer, and the resulting deliverables will be considered complete and conforming. We are happy to honor reasonable written preferences at no additional charge where feasible; preferences requiring additional time, scope, or specialized services may be quoted separately.

3. Preview, Acceptance, and Payment

Clients are given the opportunity to view and review the delivered media before payment. The deliverables are made viewable to you prior to purchase; only the ability to download the files is gated behind payment.

Because you are able to review the work before paying, submitting payment constitutes your review, acceptance, and confirmation that the deliverables conform to your order and meet your expectations. Accessing, downloading, or using any deliverable likewise constitutes acceptance of the work as conforming.

If you believe there is a genuine error in the deliverables (for example, a missing room, a corrupted file, or an omitted item you requested in writing), you must notify us within forty-eight (48) hours of delivery. After this window, or upon payment, download, or use, whichever occurs first, the work is deemed accepted.

4. Refunds

Because this is a subjective creative service and time-based professional labor, all fees are non-refundable. Dissatisfaction with creative or stylistic choices, including framing, angles, composition, the number of photos per room, or editing style, is not a defect and is not grounds for a refund. Our team’s time, once committed and performed, cannot be returned.

Where we have made a genuine error (such as missing a room you requested in writing or delivering a corrupted file), your sole remedy is correction under Section 5, not a refund.

5. Revisions, Re-Shoots, and Sole Remedy

One round of reasonable revisions is included if requested in writing within seven (7) days of delivery. Additional edits, virtual staging, structural changes, or non-standard work are billed separately. Raw files remain the property of Orange Visuals.

For any concern regarding the quality or conformity of the work, your sole and exclusive remedy is a re-edit or re-shoot, provided at Orange Visuals’ discretion, scheduled at the mutual availability of both parties. Orange Visuals is not responsible for, and does not guarantee delivery against, any external listing date, market date, open-house date, or other deadline set by the Client or third parties. The Client is responsible for scheduling with sufficient lead time to accommodate any desired revisions or re-shoots before such deadlines.

6. Deliverables and Format

Photography is delivered in horizontal (landscape) format consistent with MLS and listing-platform conventions. The number of photographs delivered varies by property and package, and we typically deliver more images than required to give the Client a range to choose from. Framing, angles, and the number of images per room reflect the creative judgment of the assigned photographer, consistent with professional real estate marketing conventions. Vertical photography and other non-standard formats are available only by written request under Section 2.

Standard deliverables are provided by the end of the next business day. Signature or premium videos may take up to forty-eight (48) hours. Delays caused by Client inaction, unsafe conditions, weather, or other force-majeure events extend these timelines.

7. Disclaimer of Warranties

All media and deliverables are provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, whether express or implied. Orange Visuals expressly disclaims all implied warranties, including any warranty of merchantability, fitness for a particular purpose, and suitability for any specific listing, platform, marketing strategy, or sale outcome. No advice or information obtained from Orange Visuals creates any warranty not expressly stated in these Terms.

8. Third-Party Materials and Infringement Claims

All media is provided as-is with no warranties against third-party claims. If the Client requests or provides third-party materials (for example, music, logos, or graphics), the Client represents that it has secured all proper rights and licenses. Orange Visuals makes no guarantee that such materials are cleared for commercial use unless expressly stated in writing. The Client agrees to indemnify, defend, and hold harmless Orange Visuals from any claims, damages, or liabilities, including legal fees, arising from alleged or actual infringement related to such third-party materials.

9. Intellectual Property and License

Orange Visuals owns all media and retains all raw files. Upon payment, the Client receives a limited, non-exclusive license to use the delivered media to market the booked property until the earlier of (a) the sale or lease closing or (b) the listing expiration. Media may not be transferred to other agents, relisted, or reused for any other property without Orange Visuals’ written approval and applicable fees.

10. Portfolio and Marketing Rights

Orange Visuals may display the media in its portfolio, on its website, and in its marketing materials. Written removal requests will be considered but are not guaranteed.

11. Authority and Access

You confirm that you have written permission to grant us access to the property, have notified all occupants, and are responsible for providing entry, parking, and alarm instructions.

12. Property Readiness

The Client is responsible for staging and cleanliness. We do not move heavy furniture, valuables, or personal items, and we are not liable for items left visible in the media. The Client is responsible for removing sensitive items and for obtaining any required model or location releases.

13. Safety and Legal Compliance

We will not perform unlawful or unsafe activities, including illegal drone flights. We operate under FAA Part 107 and may refuse or stop work if conditions are unsafe or unlawful. The Client is responsible for MLS, Fair Housing, and advertising compliance. We will not edit media to conceal material defects or create misleading representations.

14. Liability and Indemnification

The Client assumes all risks at the property. Orange Visuals is not liable for incidental, consequential, special, or punitive damages. Orange Visuals’ total liability for any claim is capped at the fees paid for the booking giving rise to the claim. The Client agrees to indemnify Orange Visuals for claims arising from a lack of permissions, misuse of media, MLS or Fair Housing violations, or unlawful requests.

15. Scheduling and Arrival

We will arrive within thirty (30) minutes of the scheduled time. If access is delayed more than fifteen (15) minutes, waiting fees may apply. If no access is provided, it is treated as a no-show and full fees apply.

16. Cancellation and Rescheduling

Cancellations made more than twenty-four (24) hours in advance incur no fee. Cancellations within twenty-four (24) hours incur a cancellation fee. Same-day cancellations incur the full fee. Once our photographer arrives on-site, the full fee is due. Weather reschedules are at our discretion.

17. Pricing and Payment

By booking, you agree to the quoted price. We may pre-authorize your card for up to the full amount. Payment is due upon delivery, and the service is considered complete upon delivery regardless of whether the Client elects to use the media. If unpaid after thirty (30) days, interest of 1.5% per month (or the maximum allowed by law) applies, and we may charge your saved payment method. The Client is responsible for chargebacks, collections, and attorney’s fees.

18. Chargebacks and Dispute Resolution

The Client agrees to raise any dispute regarding the work directly with Orange Visuals and to pursue resolution through the remedies set out in these Terms, and through binding arbitration under Section 21, before initiating any chargeback, payment dispute, or reversal with a card issuer or bank.

Because the Client is able to preview the work before payment and accepts the work upon payment, download, or use, initiating a chargeback for delivered and accepted work is a material breach of these Terms. In the event of such a chargeback, the Client remains liable for the full amount due, together with any chargeback fees, costs of collection, and reasonable attorney’s fees, and Orange Visuals reserves all rights and remedies available to it.

19. Public Statements

Clients are free to share their honest opinions and reviews about their experience with Orange Visuals. Nothing in these Terms restricts a Client’s right to communicate truthful, good-faith feedback. The Client agrees, however, not to make or publish statements about Orange Visuals that the Client knows to be false, or that are defamatory, and the Client acknowledges that Orange Visuals reserves all legal remedies available for knowingly false or defamatory statements.

20. Communications and Recording

The Client acknowledges and agrees that telephone calls and other communications with Orange Visuals may be recorded and retained for quality assurance, training, and dispute-resolution purposes.

21. Governing Law and Disputes

These Terms are governed by the laws of the State of Ohio. Venue is Franklin County, Ohio. Except as required to enforce payment or seek injunctive relief, disputes will be resolved by binding arbitration. Class actions are waived.

22. Force Majeure

We are not liable for delays or cancellations due to weather, illness, outages, or other events beyond our reasonable control.

23. Updates, Severability, and Entire Agreement

These Terms may be updated from time to time. The version in effect at the time of booking applies to that booking. If any provision is found unenforceable, the remaining provisions remain in full force and effect. These Terms constitute the entire agreement between the parties regarding the services and supersede all prior agreements and understandings.

By booking with Orange Visuals LLC, you acknowledge that you have read, understood, and agree to these Terms of Service.
